Terms and Conditions for Endless Plains Africa Ltd

  1. INTRODUCTION

1.1  These terms and conditions shall always govern the contract between an individual(s) purchasing a travel and tour service (hereinafter referred to as “client(s)” and WILDERNESS EXPLORERS AFRICA LTD (hereinafter referred to as “the company” to the exclusion of all other terms save for those implied by the law. No variation of these terms shall be valid unless given in writing and signed by a client and a company director.

  1. BOOKINGS

2.1  Wilderness Explorers Africa Ltd provides transportation, accommodation bookings, restaurant meals, excursions, and other services incorporation and partnership with other independent suppliers and partners.

2.2  The person or head of the group who signifies his/her acceptance of the booking does so on behalf of persons under his or her authority and all the group members shall equally be bound by these terms and conditions.

2.3  For the proposes of reserving flights, accommodations, and gorilla permits, Wilderness Explorers Africa shall need the of a client as they appear in all the identification documents.

2.4  When booking a trip, a client must inform Wilderness Explorers Africa Ltd of any special needs and requests particularly medical, disability, special diet, and any other requirements. Wilderness Explorers will strive to meet such needs and, where it isn’t possible, inform the client accordingly.

2.5  Clients may make adjustments to their reservations and the company reserves the right to confirm the adjustments where practical, possible, and reasonable. Wilderness Explorers Africa reserves the right to make adjustments to the fees, and charges relative to the costs which will be added to the total invoice.

  1.   PRICES

3.1  The prices quoted by Wilderness Explorers Africa for trips, unless otherwise expressly stated, includes overnight in hotels, guest houses, or lodges. Airport transfers, ground transportation, guides and drivers, entrance and ranger fees, and sightseeing.

3.2  Unless otherwise expressly communicated, the quoted price does not cover international and domestic airfare, visa, and passport, meals not mentioned, drinks other than the mineral water provided in the car, tips, laundry, travel insurance, and other similar items of personal nature.

3.3  Wilderness Explorers Africa reserves the right to adjust prices at any time without notice and any reason to be given to the clients. Similarly, prices quoted on the website are not guaranteed and are subject to changes until confirmed in writing.

  1. PAYMENT

4.1  All tours will be booked and confirmed upon the deposit of a basic trip rate to be agreed upon between the company and a client. For gorilla permits, full and advance payment of the permit fee is required in order to make the reservation.

4.2  The payment of the balance is due and payable not later than 45 days prior to the trip unless expressly agreed otherwise.

4.3  Bookings made within 45 days before arrival must be paid in full at the time of confirmation and the company reserves the right to cancel the trip if payment is not made in accordance with this clause.

4.4  Payments can be made through a VISA credit card, bank transfer, or cash. However, the costs of these transactions (like a 5% service charge in case of credit card payments) are fully met by the client. Credit card transactions must be made at least two months prior to the start of your trip.

  1. EXECUTION OF THE TOUR

5.1  Whereas we are committed to ensuring that you view animals in their natural habitat, we, however, do not guarantee wildlife or game viewing and you must take caution while viewing the animals by carefully following the instructions either by the tour guide or the responsible person at that particular time. A gorilla permit is a guarantee that the client will be able to track the animals but doesn’t guarantee that the animals shall be in abundance.

5.2  The accommodation is based on a double-bedded room. Single rooms and private bathrooms may be available at times but Wilderness Explorers does not guarantee their availability. The company also reserves the right to the right to substitute equivalent or superior hotels if the hotel of equivalent standard is not available and extra charges may apply for superior standard accommodation.

5.3  Every mechanically possible effort will be made to ensure that the vehicles availed for transportation are in a roadworthy condition but no liability shall be accepted for puncture, breakdown, damage and delay or whatever cause for whatever reason.

5.4 English-speaking drivers/guides shall be availed by the company and their decision and choices on the roads and directions are final.  The company reserves the right to cancel any scheduled operations or tours and vary the trip in any way in view of unforeseen circumstances such as road and park closures, bad roads, security considerations, etc. in such cases alternative arrangements may be made by the company depending on the circumstances of each case and at the option of the company.

5.5  Wilderness explorers reserve the right to hire and/or employ sub-contractors to carry out any/all of the services agreed upon with a client. The company also reserves. The company also reserves the right to refuse anybody from participating or from continuing to participate if, in the opinion of the responsible person or the company that such a person is behaving in such a way to cause danger, hazard, or inconvenience to other persons, property and ecosystems. The company shall have a right to terminate the trip in such a case and there shall be no refund and the company shall not be liable for the attendant damages and expenses caused by the termination.

  1. CANCELLATION BY WILDERNESS EXPLORERS AFRICA

6.1  Wilderness Explorers Africa ltd reserves the right to cancel any trip or any part thereof for any, but not limited, to the following reasons.

6.2  If the company or its associates regard in their opinion adverse weather conditions or other safety conditions that are unacceptable and cannot be reasonably overcome.

6.3  If the company reasonably believes the client may cause damage to the property, reputation, or that of third parties.

6.4  If the company’s suppliers are for whatever reason unable to host the event and if the changes the client wishes to make to the trip or booking make it economically undesirable and impractical.

6.5  Should the company decide to cancel a trip, it shall be re-scheduled on a mutually convenient date or/and a refund shall be provided to the client if that is not feasible.

6.6  Save as expressly stated above, the company shall not be under any liability to the client for the cancellation of an event or any part thereof.

  1. CANCELLATION BY CLIENT

7.1  All cancellation requests must be made in writing and shall be effective from the date of actual confirmation by Wilderness Explorers Africa Ltd.

7.2  The following cancellation rates may apply to the basic trip rate and wilderness Explorers Africa Ltd reserves the right to deduct any expenses incurred.

  • 60 days or more prior to arrival 10%
  • 59-32 days prior to arrival 25%
  • 31-8 days prior to arrival 50%
  • 7-3 days prior to arrival 75%
  • 48 hours or less prior to arrival 100% charge.

7.3  Gorilla permits and air permits are 100% non-refundable.

7.4  No refunds shall be made for any unused services, late arrivals, and no showcases of the members of the trip.

  1.   COMPLAINTS

8.1  Wilderness explorers Africa prides itself on exceeding the expectations of its clients in every aspect of the trip organized. However, any suggestions, recommendations, and complaints are welcome so as to keep improving the quality of the service offered.

8.2  As such, any complaints must be reported promptly to Wilderness Explorers Africa ltd or its staff. If it relates to the service providers, It must be made to the relevant service provider. We shall do our level best and everything possible to resolve the matter and if not solved to the satisfaction of the client, it should be reported in writing and is not later than 30 days from the date of completion of the trip.

8.3  No liability or responsibility shall be accepted for a complaint not notified in accordance with the above procedure.

  1. LIABILITY

9.1  Whereas Wilderness Explorers Africa ltd will do everything possible to ensure that every trip is carried out in the best way possible as contained in the specifications, the company does not have direct control over its suppliers, or service providers and, whilst every service provider is chosen with reasonable care, Wilderness Explorers Africa will not accept any liability for the errors, omissions, and commissions of the service providers.

9.2  Wilderness Explorers Africa Ltd shall not accept any liability for any damage to property or/and possession, loss, and injury caused by negligence, breach of any contractual and statutory obligations, and any tort or criminal acts of its agents, workers, employees, partners and independent contractors. Liability shall not also be accepted for anything whatsoever caused to anybody including, but not limited to clients.

9.3  Wilderness Explorers Africa shall not be liable for or/and accept to pay compensation for unforeseen circumstances beyond the company or its staff including but not limited to flight delays and cancellations, force majeure such as war or threat of war, riots, pandemics, civil disobedience, terrorism, border closure, acts of governments or other authorities, strikes, theft, epidemics, road closures, industrial disputes, natural/nuclear disasters, extreme weather conditions, technical and/or mechanical problems to transport, accidents and whatsoever events.

9.4   It’s the responsibility of the client to ensure all members of the tour have proper passports, visas, travel permits, health certificates, and any other relevant travel documentation required.

9.5   Clients are strongly advised to obtain all different forms of insurance although not limited to health insurance and travel insurance. Clients are further advised to have proper and comprehensive medical checkups before travelling to Uganda and prepare for medical emergencies while on trips to insulate against unlikely but possible medical emergencies.

  1.  APPLICABLE LAW

10.1 This Agreement shall be governed and constructed in accordance with the Laws of the Republic of Uganda.

  1.  DISPUTE RESOLUTION AND JURISDICTION

11.1  Any dispute, controversy, or claims arising out of or relating to a tour or the breach, termination, or invalidity thereof, shall be settled by arbitration in accordance with the provisions of the Arbitration Laws of Uganda.

11.2   The place of arbitration shall be at a designated arbitral centre within the jurisdiction of this country and any award whether interim or final, shall be made, be deemed for all purposes between the Parties to be made in conclusion and finality of the dispute.

11.3   The arbitral procedure shall be conducted in the English language and any award or awards shall be rendered in English. The procedural law of the arbitration shall be Ugandan law.

11.4   The award of the arbitral tribunal shall be final, conclusive, and binding upon the Parties, and the provisions of the Arbitration and Conciliation Act, 2000.

11.5   The rights and obligations of the Parties under, or pursuant to, this Clause, including the arbitration agreement in this Clause, shall be governed by and be subject to the Laws of Uganda, and the agreement shall be subject to the exclusive jurisdiction of the courts in Uganda.

  1.    DATA PROTECTION

12.1   Wilderness explorers Africa Ltd is committed to complying with all the obligations under all applicable data protection laws except otherwise expressly stated here. However, the company reserves the exclusive right to use any personal data collected from the field in the course of any trip including but not limited to photos, names, and any other data for any use it deems fit.
